ENGAGEMENT AGREEMENT

BACKGROUND ARTISTS AGREEMENT “GARETH JONES”STANDARD TERMS OF ENGAGEMENT
1) Fees & Rights
1.1 The Fee is inclusive of overtime, travel, prep and wrap times, night work, unsocial hours, meal breaks and all hours necessary to
sustain the working day. Unless otherwise specified in the Deal Terms and unless otherwise required to work the sale by the
Company, the Artist will not be entitled to work and will not be paid for any additional days outside the period of engagement
(Engagement Period) without the prior written approval of the Company. Payment of the Fee constitutes a complete buyout of all of
the Rights and the Products and the Artist shall not be entitled to any further sums whatsoever by reason of the exploitation in any
manner whatsoever of the Products and the Film. All payments under this Agreement are exclusive of Value Added Tax (VAT). If
VAT is or becomes payable, the Artist will render to the Company a VAT invoice (with the Artist’s VAT registration details) for the
payments upon receipt of which the Company will pay to the Artist the amount shown due.1.2 In consideration of the payment by
the Company to the Artist of the sum of £1, receipt and sufficiency of which is acknowledged, the Artist with full title guarantee
irrevocably and unconditionally grants and assigns to the Company, by way of an immediate grant and exclusive assignment of all
present and future rights, the entire copyright and all other rights, title and interest of whatsoever kind or nature, whether vested,
future or contingent (including any and all exploitation rights in all media and by any and all means now known or hereafter
invented) in and to all of the products of the Artist's services (Products) and any and all allied and ancillary rights thereto, to hold the
same unto the Company absolutely, throughout the world in all languages and in all media now known or hereafter invented for the
full period of copyright together with all possible renewals, revivals, reversions and extensions of the same and thereafter in
perpetuity to the extent permitted by law, whether the rights to such renewals, revivals, reversions or extensions now exist or are
hereafter created by the laws in force in any part of the world. Such grant and assignment shall be without reservation or condition
and so that no right of any kind, nature or description is or may be reserved by the Artist. All rights, title, interest and consents
granted by the Artist to the Company in this agreement shall be referred to as the Rights. 1.3 The Artist irrevocably and
unconditionally waives in perpetuity (and agrees and undertakes not to assert) any and all moral and/or performer’s rights that the
Artist may have in and to the Products, the Film and any and all allied and ancillary rights thereto, whether arising under Sections 77
to 85 (inclusive) or sections 205(C) to 205(N) (inclusive) of the Copyright Designs and Patents Act 1988, as amended (Act) or
otherwise, and the benefits of any provision of law known as "droit moral" or any similar law in any part of the world and undertakes,
as a separate undertaking, not to institute, support, maintain or permit any action or lawsuit in any part of the world on the grounds
that the Products, the Film or any and all allied and ancillary rights thereto or any version or adaptation therefrom or any derivative
right or product in any way constitutes an infringement of any moral rights or “droit moral" of the Artist or is in any way a defamation
or mutilation of the Products, the Film or contains unauthorised alterations, adaptation or translations or on the grounds that the
Products or the Film have been subjected to derogatory treatment. 1.4 The Company shall be the sole owner of the copyright in the
Film and any and all allied and ancillary rights thereto, with the right to make use of the Products, the Film and any and all allied and
ancillary rights thereto in all media and by all means throughout the world in perpetuity as it shall in its sole discretion decide
without any further payment to the Artist. For the purposes of the copyright law of the USA and any jurisdiction which does not
recognise an assignment of future copyright, if there is resort or subjection to such jurisdiction in relation to this Agreement, the
Products are and will be deemed to be written as a “work made for hire” and the Company shall be deemed the author.1.5 The
Rights include any and all rights of communication to the public and making available rights include satellite rights, cable
retransmission rights and any and all rental and lending rights, whether now known or hereafter existing, in any part of the world in
and to the Products and any and all allied and ancillary rights in the Film and any part, version or adaptation of the same. Further, the
Artist confirms that the consideration payable under this Agreement includes a payment which represents full, adequate and
equitable remuneration in respect of all such rights (including rental and lending rights) that the Artist may have in relation to the
same. The Artist undertakes, within 5 working days of receiving such request from the Company, to do all acts and execute all such
documents as the Company may from time to time require to vest in or further assure to the Company, the Rights and for the
protection and enforcement of the same. 1.6 The grant of Rights under this Agreement shall be irrevocable and shall not be subject
to reversion, rescissions, termination, injunction or any other equitable relief. The Artist's rights in the circumstances of any breach
or repudiation of this Agreement by the Company or any third party shall be limited to the Artist's right to recover damages actually
suffered in an action at law. In no circumstances shall the Artist be entitled to injunct, interfere with, inhibit, enjoin or restrain the
development, production, distribution, exhibition or other exploitation of the Film or any allied and ancillary rights thereto (including
any advertising and publicity relating to the same).
2) Warranties & Indemnity
2.1 The Artist warrants, represents and undertakes to and with the Company that the Artist: 2.1.1 has the full right, power, legal
capacity and authority to enter into this Agreement and is not subject to any obligation, commitments or incapacity which will or
might prevent the Artist from complying with and performing all the conditions and obligations in this Agreement or cause the

warranties, representations or undertakings set out to be or become untrue or incapable of being fulfilled; 2.1.2 undertakes that the
Products will be original, except as to matters in the public domain, and will not infringe the rights of any third party and has not
done and will not do anything which might or could impair the Company’s ability to fully exploit the Rights and the Products; 2.1.3 is
and will remain during the Engagement Period a qualifying person for the purposes of the Act and a British or EU Member State
citizen ordinarily resident in the UK and legally entitled to work in the UK;2.1.4 will not incur any liability on behalf of the Company
nor pledge the Company’s credit and will be solely responsible for any traffic, congestion charge, parking or other fines incurred by
the Artist whether in a hire or the Artist's own vehicle; 2.1.5 shall exercise all reasonable care during the course of the Engagement
Period for the Artist’s own health and safety and that of other persons who may be affected by the Artist's acts or omissions and the
Artist shall co-operate as far as it is necessary to ensure that the Company is able to comply with its obligations in relation to health
and safety at work by law and the Artist shall read and become familiar with the Company's Health and Safety Policy; 2.1.6 shall, at
the end of the Engagement Period, hand over to the Company any and all materials or effects belonging to the Company or relating
to the Company, its affairs, the Film or any third party with which the Company has had any dealings and which are then in the
Artist’s possession or under the Artist's control (whether prepared by the Artist or another party);2.1.7 shall not be under the
influence of alcohol or controlled substances whilst rendering services under this Agreement and shall not do anything which could
or would invalidate any of the Company's insurance policies taken out in connection with the Film; and 2.1.8 shall not do anything
that would affect the grant, assignment and/or waiver of any of the Rights or cause the warranties, representations or undertakings
given in this Agreement to be or become untrue or incapable of being fulfilled or that could jeopardise the further development,
production and/or exploitation of the Film or any future related films or programmes, or that could otherwise bring the Company
and/or any co-producers, financiers, broadcasters or distributors of the Film into disrepute. 2.2 The Artist indemnifies and shall keep
the Company fully and effectively indemnified from and against any and all claims, demands, actions, proceedings, costs, damages,
liabilities, losses and expenses (including legal costs, expenses and VAT) suffered or incurred directly or indirectly by the Company
or any compensation paid or agreed to be paid by the Company to any third party arising out of any breach, non-performance or
non-observance by the Artist of any of the covenants, warranties, representations, undertakings and agreements contained or
implied in this Agreement.
3) Confidentiality
3.1 The Artist shall not, other than to the Artist’s professional advisers, without the Company’s prior written consent, make any
statement, announcement or give any information directly or indirectly relating to the Film, any individual engaged in the making of
the Film, this Agreement, the internal affairs of the Company or the commercial relationship of the company to any financing partner
(including any broadcaster or distributor), (i) to any journalist, critic or correspondent of any newspaper or publication, (ii) to any
person, firm or company by whom or in any circumstances in which the repetition or publication of any such statement might
reasonably be anticipated or (iii) on any on-line messaging service, website, blog, social network (including but not limited to
Facebook, Twitter, Google Plus and YouTube), or any other internet or intranet-based form, regardless of whether such statement,
announcement or comment is directed to one or more specific persons and regardless of whether such statement, announcement
or comment can only be accessed by a limited group of people.3.2 The Artist shall not at any time take any photographs or make
any recordings of any activity relating to the Film, the individuals engaged in relation to it or things coming into the Artist's
possession or control by reason of the Artist's engagement under this Agreement without the prior written consent of the Company
nor shall the Artist, at any time, do anything detrimental to or say anything detrimental about the Film, the Company or any persons
involved in or associated with the same.
4) Child Protection
4.1 If the provision of the Artist's services in respect of the Film involves unsupervised contact with children or vulnerable persons
(as defined in the Safeguarding Vulnerable Groups Act 2006 and as amended from time to time), the Artist may, at the Company's
direction (or as required by law from time to time), be required to obtain a disclosure (Disclosure) from the Disclosure and Barring
Service (DBS) (or, if applicable, any similar organisation) and disclose and assign the benefit of the results to the Company.
5) Anti-Corruption and Data Protection
5.1 It is the policy of the Company to comply fully with the laws of the UK against bribery and corruption including the Bribery Act
2010 as amended from time to time (collectively the Anti-Corruption Policy). The Company expects the Artist to conduct business
legally, ethically and with the highest levels of integrity. Offering or accepting bribes or engaging in bribery of any kind is strictly
prohibited and the Artist represents and warrants that the Artist is aware of the Anti-Corruption Policy and will not at any time be in
breach of it. 5.2 For the purposes of the Data Protection Act 1998 as amended (DPA), the Artist consents to the holding, disclosing
and processing of personal data (Data), including sensitive personal data, as such terms are defined in the DPA, relating to the Artist
by the Company (and any companies in the same group as the Company and, where relevant, their employees, agents and advisers)
for purposes connected with this Agreement and to ensure compliance with the Company’s legal and regulatory obligations. The
holding, disclosing or processing of Data may be in any form (whether obtained or held in writing, electronically or otherwise) and
the Artist acknowledges that the processing of Data further to this Agreement may involve the disclosure of the Data to third parties
and the transfer of such Data outside the European Economic Area including the USA and other jurisdictions where data protection
regulations may not offer the same protection as those applicable within the European Economic Area and the Artist consents to
such transfers.

6) Miscellaneous
6.1 The provisions of the Artist’s services are not subject to any collective bargaining agreements, guild or union regulations. 6.2
The Company shall be entitled to assign, license or otherwise deal with its rights pursuant to this Agreement in whole or in party to
any third party. The Artist may not assign this Agreement. 6.3 If any clause, provision or any part of this Agreement becomes invalid,
illegal or unenforceable in any respect under any law or for any other reason whatsoever, the validity, legality and enforceability of
the remaining provisions hereof shall not in any way be affected or impaired. 6.4 This Agreement may be validly executed in any
number of counterparts each of which when so executed and delivered shall be an original but which together shall form one and
the same instrument. Executed counterpart signature pages of this Agreement sent by fax or scanned and transmitted electronically
in either Tagged Image Format Files (TIFF) or Portable Document Format (PDF) or the equivalent shall be treated as originals, fully
binding and with full legal force and effect, and the parties waive any rights they may have to object to such treatment. 6.5 This
Agreement represents the entire agreement between the parties in respect of its subject matter and replaces any previous
agreement(s), whether written or oral, relating to the subject matter and may be varied, modified or terminated only in writing signed
by the Parties.6.6 This Agreement shall be governed by and construed in accordance with the laws of England and Wales and the
parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
